Terms of Service

Please read these terms carefully before using our website or engaging our services. By accessing sync-9.com or working with Sync-9, you agree to be bound by the following terms and conditions.

1 Acceptance of Terms

By accessing or using the Sync-9 website at sync-9.com ("the Website") or engaging Sync-9 for any services, you ("the Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms apply to all visitors, users and clients of Sync-9. Where a separate written agreement or Statement of Work exists between Sync-9 and a Client, that agreement shall take precedence over these Terms in the event of any conflict.

2 Our Services

Sync-9 provides AI and workflow automation consulting services to small and medium-sized businesses, including but not limited to:

  • Workflow automation design, build and implementation using platforms such as Zapier, Make, n8n and custom APIs
  • AI-powered workflow and process automation
  • Data integration and system connectivity services
  • Automation strategy consulting and discovery sessions
  • Training and ongoing support for automation systems

The specific scope, deliverables, timeline and fees for any paid engagement will be agreed in writing prior to commencement of work.

3 Free Consultations

Sync-9 offers free discovery consultations via Calendly to prospective clients. These consultations are provided at no charge and are intended to help us understand your needs and determine whether our services are a good fit.

  • Free consultations do not constitute a binding service agreement
  • Any advice or recommendations provided during a free consultation are given in good faith but without warranty
  • Sync-9 reserves the right to decline or cancel a free consultation at any time
  • Bookings made via Calendly are subject to Calendly's own Terms of Service

4 Paid Engagements

All paid service engagements are governed by the terms agreed in a written proposal, Statement of Work or service agreement provided to the Client before work begins. The following general terms apply to all paid engagements:

Client Responsibilities

  • Provide timely access to necessary systems, credentials and information required to complete the work
  • Designate a primary point of contact for the project
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure you have the right to grant Sync-9 access to the tools and platforms involved

Scope Changes

Any changes to the agreed project scope must be requested in writing and will be subject to a revised quote and timeline. Sync-9 is not obligated to undertake out-of-scope work without a written amendment to the original agreement.

Project Delays

If a project is delayed due to factors within the Client's control — including delayed feedback, unavailable access or changed requirements — Sync-9 reserves the right to reschedule work and, where applicable, apply additional fees.

5 Payment Terms

Payment terms for each engagement are outlined in the project proposal or invoice. General terms include:

  • Invoices are due within the timeframe specified on the invoice (typically 14 or 30 days from date of issue)
  • For larger projects, a deposit may be required before work commences
  • Late payments may be subject to a late fee as specified in the project agreement
  • Sync-9 reserves the right to pause or suspend work on any project where payment is overdue
  • All fees are quoted in US Dollars (USD) unless otherwise stated
Refund Policy: Due to the nature of consulting and custom-built automation work, fees paid for completed work are non-refundable. If you have concerns about deliverables, please contact us at support@sync-9.com and we will work with you in good faith to resolve the issue.

6 Intellectual Property

Client-Owned Deliverables

Upon receipt of full payment, Sync-9 assigns to the Client all rights, title and interest in the custom automation workflows, configurations and documented processes created specifically for that Client under the engagement.

Sync-9 Retained IP

Sync-9 retains ownership of all pre-existing intellectual property, methodologies, frameworks, templates, tools and know-how developed independently of any client engagement. These may be used in the delivery of services but are not transferred to the Client.

Website Content

All content on the Sync-9 website — including text, graphics, logos and design — is the property of Sync-9 and may not be copied, reproduced or distributed without prior written permission.

Third-Party Platforms

Automation workflows built on third-party platforms such as Zapier, Make or n8n are subject to the intellectual property terms of those respective platforms. Sync-9 makes no claim over platform-native functionality.

7 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. Sync-9 will not disclose your business processes, data, credentials or project details to any third party without your consent, except as required by law or as necessary to deliver the agreed services (e.g. using a third-party platform to build your automation).

Where a more formal Non-Disclosure Agreement (NDA) is required, this can be arranged upon request prior to commencement of work.

8 Limitation of Liability

To the fullest extent permitted by applicable law, Sync-9's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Sync-9 in the three (3) months preceding the claim.

Important: Sync-9 shall not be liable for any indirect, incidental, special, consequential or punitive damages — including loss of profits, data, business or goodwill — even if Sync-9 has been advised of the possibility of such damages.

Sync-9 is not liable for disruptions, errors or failures caused by third-party platforms (including Zapier, Make, n8n, Google, Calendly or any CRM), force majeure events, or issues arising from the Client's failure to provide accurate information or maintain system access.

9 Disclaimers & Warranties

Sync-9 warrants that services will be performed with reasonable skill, care and diligence in accordance with industry standards. However:

  • The Website and its content are provided "as is" without warranties of any kind, express or implied
  • Sync-9 does not warrant that automation workflows will be uninterrupted, error-free or compatible with future updates to third-party platforms
  • Results and outcomes described in case studies or marketing materials represent past client experiences and are not guaranteed for future engagements
  • Any estimates of time savings, cost reductions or efficiency gains are provided in good faith based on available information and are not binding guarantees

10 Termination

Either party may terminate a service engagement by providing written notice as specified in the project agreement. In the absence of a specific notice period, 14 days' written notice is required.

  • Upon termination, the Client is responsible for payment of all fees for work completed up to the termination date
  • Sync-9 will deliver all completed work product to the Client upon receipt of outstanding payment
  • Sync-9 reserves the right to terminate an engagement immediately and without notice in cases of non-payment, breach of these Terms, or conduct that is abusive, unlawful or harmful

11 Website Use

By using the Sync-9 website, you agree to the following:

  • You will not use the website for any unlawful purpose or in any way that could damage, disable or impair it
  • You will not attempt to gain unauthorised access to any part of the website or its underlying systems
  • You will not use automated tools to scrape, crawl or harvest content from the website without prior written consent
  • You will not submit false, misleading or malicious content through any contact form or booking tool

Sync-9 reserves the right to restrict or terminate access to the website for any user who violates these terms.

12 Third-Party Tools & Platforms

Our services involve the use of third-party platforms including Zapier, Make, n8n, Google Workspace, Calendly, Airtable and others. Your use of these platforms is governed by their respective terms of service and privacy policies. Sync-9 is not responsible for:

  • Changes to third-party platform pricing, features or availability
  • Outages, bugs or data loss caused by third-party platforms
  • The privacy practices of third-party platforms
  • Any costs associated with third-party platform subscriptions required to operate your automations

We will always inform you of any third-party platform costs or requirements before commencing work.

13 Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

In the event of a dispute arising from these Terms or any engagement with Sync-9, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property or confidential information.

14 Changes to These Terms

Sync-9 reserves the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

For active client engagements, any material changes to Terms that affect the scope or cost of an ongoing project will be communicated in writing and will require mutual agreement before taking effect.
